Terms of Service
Last updated: · Provided by [Company legal name] · Questions: [legal@your-domain]
These terms are the agreement between [Company legal name] (“Loopin”, “we”) and the company or person that creates a Loopin workspace (“you”, the “Customer”). Please read them with the Privacy Policy and the Refund Policy.
1. Who these terms are with
By creating a workspace, or by using Loopin on behalf of a company, you agree to these terms. If you accept them for a company, you confirm that you may bind that company. If you do not agree, do not use Loopin.
People who are invited into a workspace by their employer (“members”) use Loopin under the Customer’s agreement with us. The Customer decides who is invited and what the workspace is used for.
2. Accounts and workspaces
- Give accurate sign-up details and keep your sign-in details, authenticator and recovery codes safe. You are responsible for what is done with your account.
- The owner who creates a workspace is its primary owner. Owners can add other owners, HR managers and administrators, change settings, export data, manage billing and delete the workspace. Owners and administrators sign in with a password and an authenticator code.
- The Customer is responsible for its owners, administrators and members, for removing access when someone leaves, and for the content they put into the workspace.
- You must be old enough to work in your country and, in any case, at least 16 years old.
3. Plans, the Free plan and the trial
- Free is for up to 10 people (invited people count) and has no end date. Group calls are limited to the size shown on the pricing page.
- Growth and Business are paid plans, priced per active person. A paid plan starts with a 14-day free trial that needs no card.
- Enterprise is arranged with us and may come with its own terms, which then take priority over these where they differ.
- If a trial ends without a plan being chosen, or a payment stays unpaid for more than 14 days, or a workspace has more people than the Free plan allows after a paid plan ends, the workspace becomes read-only. Everyone can still read and export their own data, and nothing is deleted. The workspace works normally again once the owner chooses a plan, fixes the payment or brings the number of people within the Free limit.
- Limits that a plan has (such as the number of people and the size of a call) are enforced by the service. We may change the plans and their prices for the future; see section 4.
4. Fees and payment
- Paddle is our reseller and the merchant of record. When you buy a paid plan, you buy from Paddle.com Market Limited (“Paddle”) on Paddle’s checkout terms. Paddle takes the payment, issues the invoice, and works out and pays VAT or sales tax where it applies. Paddle’s own terms and privacy notice govern the payment and the payment data it collects.
- Prices are per active person for each month, or for the year if you pay yearly (yearly billing is discounted), before tax. The price shown in Paddle’s checkout is the price you pay.
- The number of paid seats follows the number of active people in the workspace. When it grows, the seats are raised and the difference for the rest of the period is charged. Seats are only lowered by an owner, in Billing.
- Changes to the plan, the billing cycle or the seats are made in Billing. How a change is charged or credited is in the Refund Policy.
- We may change prices. A change does not affect the period you have already paid for, and we will tell the owners by email before it applies to your next period.
- If a payment fails, Paddle tries again and we tell the owners. The workspace keeps working for 14 days after the first failure and is then read-only until the payment goes through.
5. Cancelling and ending the agreement
- An owner can cancel a paid plan in Billing at any time. The plan continues until the end of the period you paid for, and you are not charged again.
- An owner can delete the workspace. It then stays read-only for 30 days, during which an owner can cancel the deletion and everyone can still export their data. After that, all the workspace’s data is deleted. A record of the workspace’s identifiers and dates remains so that we can show the deletion took place.
- We may suspend or end a workspace if it breaches these terms (for example by abuse or by illegal content) or if an invoice stays unpaid. Where we can, we tell you first and give you time to put it right and to export your data.
- Sections that by their nature should continue (payment owed, liability, governing law) continue after the agreement ends.
6. Acceptable use
You and your members must not:
- break the law, or use Loopin to harass, threaten or discriminate against anyone, or to post illegal, hateful or sexually explicit content;
- upload malware, or try to gain access to other workspaces, accounts or our systems, to probe or test them without our written permission, or to overload them;
- send spam, or use the service to collect personal data without a lawful reason;
- copy, resell or reverse-engineer the service, except as the law allows;
- use face checks or location checks on people who have not been properly informed, or against the law that applies to you (see section 8).
We can remove content and suspend accounts that break these rules, and owners can moderate content in their own workspace.
7. Your data and privacy
- The data in your workspace is yours. You give us the right to host and process it only to provide Loopin to you, as described in these terms, the Privacy Policy and (where it applies) the Data Processing Agreement.
- For the personal data of your members, you are the controller (or the equivalent under the law that applies) and we are your processor. A Data Processing Agreement is available on request. Our sub-processors are listed on this site.
- You can export the workspace’s data and each person can export their own data from the app. Owners can erase a person’s personal data, set how long messages and posts are kept, and delete the workspace.
- You are responsible for having a lawful reason, and for giving your members the notices the law requires, for what you do with Loopin, such as attendance records and location checks.
8. Attendance and face checks
Face check is optional and off unless the Customer turns it on. When it is on, each person is asked for explicit consent before a face template is made, and can withdraw it at any time in the app, which deletes the template. Details are in the Privacy Policy.
The Customer is responsible for deciding whether face checks are lawful for its workplace and country (some laws, such as those on biometric data, need written consent or forbid it), and for offering people who decline another way to record attendance. Loopin supports this with a kiosk PIN or badge and a manager’s approval. We do not decide for you whether a particular use is permitted.
9. Our rights in the service
Loopin, its software, design and name belong to us or our licensors. We give you a limited, non-exclusive, non-transferable right to use the service during the agreement. Feedback you send us may be used by us without obligation. The service uses open-source software under its own licences.
10. Availability and support
We work to keep Loopin available and secure, but we do not promise it will be uninterrupted or error-free. We may carry out maintenance and will try to warn you of planned downtime. Support is by email at [support@your-domain] and from the support section of the console. A service-level agreement applies only if you have signed one (for example under Enterprise).
11. Warranties and liability
The service is provided “as is”. To the extent the law allows, we do not give any warranty other than those in these terms, including any about fitness for a particular purpose.
Nothing in these terms limits liability that cannot be limited by law, such as for death or personal injury caused by negligence or for fraud. Otherwise, to the extent the law allows, we are not liable for indirect or consequential loss, or for lost profit, and our total liability for anything arising from the service in any twelve months is limited to [liability cap, to be set by the lawyer].
You are responsible for the content in your workspace and agree to reimburse us for third-party claims that arise from your breach of these terms. [Indemnity wording to be settled by the lawyer.]
12. Governing law
These terms are governed by the law of [Governing law and courts], and the courts there have exclusive jurisdiction, except that consumers and other parties keep any rights the law of their country gives them and cannot be deprived of them by this clause.
13. Changes and contact
We may change these terms. If a change matters, we will tell the owners by email or in the app before it applies; using the service after that means you accept it. If you do not accept it, you can cancel as described in section 5.
